" LATEST CCFC DIRECTOR AND SHAREHOLDER INFORMATION "

On 1 October Cardiff City Football Club (Holdings) Limited filed its latest Annual Return updating the above information to 29 August 2015.

In the director information , Ken Choo is not listed although I am pretty sure he had been appointed to this main board role as well as to the football club company.
The 7 directors listed are Steve Borley , Derek Chin, Mehmet Dalman , Michael Isaac , Meng Wong Lim , Datuk Lye and Danni Rais so that the Malaysian nationals continue to hold a voting majority on the board.

The total shares in issue as at 29 August 2015 were just over 150m in number (150,155,267)and the biggest single shareholder by far is Tan Sri Dato`Seri Vincent Tan Chee Yioun holding 133,862,466 shares which is just over 89% of all the shares in issue.
To get a 1% shareholding , a shareholder would have to have just over 1.5m shares.From a quick scan of the list , only the following have as many as that:-

Rudgwick Ltd (Sam Hammam`s company) - 1.86m (1.2%)
Michael Isaac - 11.2m (7.2%)
The only other shareholder getting anywhere near to a 1% holding is S Dudley and Sons Ltd - 1.28m (0.8%).

There are 462 other shareholders , but virtually all of them hold only token amounts of shares. 98% of the shares are held by just 4 shareholders , with just one of those holding over 89%.

I didn't think S Dudley & Sons Ltd existed anymore?

I think it is the same Newport based company that went into Administration in 2013 but it doesn't mean that the shares can't still be registered as an asset of that company to be sold by the Administrator (Peter Dewey of Begbies) if he is aware the shares exist. Not sure who he could sell them to mind other than Vincent Tan.

Think they are now in Lamby Way Cardiff, under S. Dudley Aluminium,after the administrator paid off the £10m they owed their creditors in full. they were there last year unless they have gone through since then.

I don't believe Dudley Aluminium actually went into Administration - it was a totally separate company.

I haven't looked into it yet but it would be extremely rare for all creditors to be paid in full in an Administration as one of the tests to be passed to get an Administration Order is that the company is insolvent I.e. Unable to pay off its creditors

The percentage of shares he holds is not relevant.

For a number of years now , there has not been a legal obligation for private limited companies (only public ones) to hold an Annual General Meeting , although it is considered to be good corporate practice to hold one.

In Peter Ridsdale`s time , there was an obligation to have an AGM every year , but he failed to call one for over 3 years. It was only when pressure was put on him by the Trust and others with the threat of getting enough shareholders together to force a shareholders meeting , that he got round to doing it.
