Wayne, there is one voice at that meeting and one decision Tans.
Votes mean nothing
But if Tan says remove Director etc yes it will be done but it's illegal as contract signed by Tan says this can only be done once agreement is all fully paid signed and sealed by both parties

To remove a director from office before the end of his term requires one of the following

1) A resolution passed at an Exraordinary General Meeting . I am not aware of any such meeting having been convened - the Trsut is a shareholder and hasn`t had such notice and you are a shareholder as well - have you been sent a notice?

2) A breach of what is known as Table A of the Srticles of the club. These breaches only relate to a resignation , madness , criminal conviction or personal insolvency of a director , or

3) Disqualification by the Court from acting as a director (like Peter Ridsdale was).

Mr Tan will have the final say as by far the biggest shreholder , but he must still first follow the above legal requirements to remove a director. If he doesn`t then he , and any other director who follows his orders ,will be in breach of their duties under the Companies Act

Your quite right unless of course the said signed deal was done with fraudulent knowledge by one of the parties.

I thought this was why the director in question was being removed under a ruling that suggested he was not fit to be a director or words to that's affect. Something along the lines that he brought nothing to the company.

This way the contract signed had no bearing on his removal.

I just wonder where the info in this thread has come from
As we are asked to believe the media reports are bollocks
So how do we know what's said on here are not bollocks I'm sure annis has not been told any info from the club
So I guess it's coming from the other side
And I also wonder why the other side is giving out info hmmmmmm :sladein: :bluescarf: :bluebird:

As a Tan owns virtually all the shares, it does not matter what I or any other shareholder says, our votes are pointless.
My point I am making is there is a contract signed and agreed.

Of course Vincent Tan can vote through what he wants.

But he still has to follow the correct procedures and call a formal meeting of shareholders or he is breaking the law and that wouldn`t look good when raised at any subsequent court hearing. Also all the other directors (VT is one in the eyes of the law even if not formally recorded as one) would be in similar breach for allowing that to happen.

Hi Keith, that's why he is doing it public, but no matter what anyone else's opinions are Tan decides 100%, but he has a signed agreement saying he has to pay all the money to Langston first before he does this.

Going to be interesting, but I will put my money on Sam as this is just another costly game to Tan and the circus roles on.

As a Tan owns virtually all the shares, it does not matter what I or any other shareholder says, our votes are pointless.
