The membership doesn't guarantee them a ticket either way so could be 40 quid down the drain , all I wanted to do was upgrade to full price adult for one game but instead of allowing it they would rather the seat go empty ?

Didn't the club say they couldn't upgrade as they weren't gold members though ,if they were gold members then they could upgrade onto your ticket if you ask them to:?:

You buy the ST, you can do what you want with it. If he does not want to sell it back to the club that's up to him.
I can't even find where you can pass it back to the club anyway so I won't bother if its too difficult.

That's fine and is your prerogative but any tickets that need upgrading should go to Gold members. I assume your mate will be a gold member this season and you will have no problems.

The lights on the inside of the turnstiles light different colours for each different type of season ticket , if an older guy walks in and it flashes up student they will get stopped

Ill be honest with you here and don't want any sympathy....but last season I used to give my ticket to my mate and my sons ticket would be upgraded to my mates brother who is now blind and have loved the city since the school yard, and it was a way of real city fans to attend a game now and again (the ones who cant afford it) so the club would earn a bit of cash and was happy to do so....but if they want to change the rules this year because Everyman and his dog want to see city play then I will take the extra legroom when my boy can't get to the game.

Oh well its your loss as you would make credit on it. If you want to spite yourself because of the system then do so. The club really won't give a shit as the ticket has already been sold in the first instance.

You are going to lose out on the credit though so it is your loss yes financially. Its simple maths mate. If you'd rather give your tickets away than earn credit to save yourself money then thats bonkers.
