I thought for example the Oystons at Blackpool were found guilty of “illegitimately stripping" the club of £26.77m in a salary and other payments to their own companies. Generally, a director can only transfer assets of a company that he or she owns less than 100% ownership of, to another Company when the transferring company receives fair market value and the transaction is approved by a majority of directors and/or shareholder. Even if there was only one small disinterested shareholder that one shareholder can block any proposal . I believe a trust director sits on the Swansea Board so I would doubt that would be the route they would go to take money out of the Club .
Share holders of any company are just that, holders of a piece of paper with very little say in how the Club is run nor can they demand a dividend which I belive hasn't been fortcoming since the yanks took over ,also they cannot use any of the assets held by the company for their personal use. Under corporate law, companies are legal persons and in that capacity they own the assets and use them in accordance with the directions given by the directors. If any shareholder were to attempt to possess the assets and use them for personal enjoyment, they’ll be accused of theft and fraud.
Directors have different legal repsonsibilities but still have to abide with corperate law which is quite orerous when it comes to selling assets . The Companies Act 2006 sets out the general duties owed by UK directors to act in the best interests of the company and if proven otherwise could be liable to prosecution so it seems its not that straight forward as first appears

The American consortium is only fronted by Levien and Kaplan and is 23 people strong, that means if they wished to take £5m in dividends for example (a generous estimate), a quarter of that would go to the Supporters Trust, and around £3.5m would be split among 23 people = £150k each.
So in short, there is absolutely zero chance the Americans are going to give the Trust a 7 figure payout to strengthen their legal case for 150k each (or whatever proportion they own among the 23). Business sense suggests they would be far better off investing that money into the squad to help it thrive which will then increase the value of the club upon sale.
Increasing the clubs value and selling it on for profit is pretty much the only way to profit from owning clubs such as ours. M
All this noise about owners pocketing money is just uneducated misinformed nonsense. Have you heard of what is happening to Karl Oyston or familiar with the court case? You asked me why I said Merry Christmas once, I answered you quite politely - how is that “covering up bullish!t”?. Why are you hung up on this? You are still banging on about it. My friend, I cannot put it any clearer that I along with the majority of the western world do not see it as a religious holiday.
