I just received a phone call saying that Tan wants to purchase everyone's shares including the other Directors?
Also I was told that at the last Shareholders meeting Tan got the backing to make every Shareholder sell to him?
Also a letter has been sent out saying Tan wants to buy them?

I wasn't at the last meeting and I haven't received a letter yet, so can anyone confirm any of this?

I want to know as I am a shareholder and I would be interested anyway. :thumbup:

As soon as he owns a certain % im pretty sure he can compulsary purchase them.

What are the implications of this "buy" ?

He obviously sees a profit in them.
After all, he is a business man first and for-most.
Obviously a good thing for us anyway.

If he wanted to do that, he would just do it.

Its obviously a full buyout in readiness for debt to equity conversion. He isnt going to wipe the debt off if he doesnt own the whole of the club.

While 50%+ can give control of a company, minority shareholders have rights. There are various trigger points such as 75% and 90% at which the majority shareholder has increased power e.g. for holding company meetings, changing the board, buying out other shareholders etc.

If the minority shareholders are eliminated then the company does not have to disclose so much financial information.

Tan said last week he was hoping to get around 90% of the shares and then he would convert the debt to equity within a few months.The significance of 90%,I have no idea.

VT said in an interview last week that he already had agreement in place to take his shareholding to over 80% and that he was looking to extend to beyond 90%. He also said that the agreements he had were at the same share price as when he first invested in the club.

I have no idea what this means for the smaller shareholders but it looks to me that he is intent on outright ownership of the club.

Nobody seems to know if this is good or bad. My insinct is good. mainly because i think the debt will be clear and redordead can finally be eliminated. am i wrong? Anyone?

The reason the Trust got some shares was to be able to attend AGM's . I doubt they will want to sell them, even though its only a tiny amount, I would imagine others would feel the same. We had a copy of all the shareholders and there are lots with very few shares and only about ten with any shares of note, that number may be even less now.

If Tan had 90% of shares, he could change debt to equity, he probably could anyway, but sweeping up all the shares makes it much easier to run the business, if there were less shareholders you would have less people at AGM's and less correspondence to write but realistically he can already do what he wants anyway.

I've recently sold a house, I want to invest a few hundred grand in CCFC, is this possible?

I remember a few years back a mate of mine had shares in British Steel which were given to him when the company was privatised.

When Corus took over and once they gained 90% of the shareholding they compulsory purchased the remaining 10% which included my buddies. He had no say in it because apparently 90% is the trigger figure for compulsory purchases of shares, where as some thing like 37% (or around there) holding means you can only 'offer' to buy them.

It would appear to me that VT is looking to have 100% control before floating. Sort of makes sense as why would you pay off all the debts and let some else share the profits?

It all depends when whether its a compulsory purchase or just an offer. Either way VT has to pay you the market rate. I believe they are valued at something like 15p a share, so if you lose or gain money it will depend on what you paid for them.

It all depends when whether its a compulsory purchase or just an offer. Either way VT has to pay you the market rate. I believe they are valued at something like 15p a share, so if you lose or gain money it will depend on what you paid for them.

If you have a small amount of shares you would not get a letter until Tan reaches 90% and then you may get a letter announcing that your shares will be compulsory purchased.

Tan will be contacting shareholders who have enough shares to get him over the 90% mark.

As soon has he has the whole club he can then do what he wants and no one will be allowed into the AGM. We will have to wait for him to float it again on a Far East market to buy shares again.

Yes indeed the market rate Tony.

It would be interesting to know how much Tans pays for the likes of some directors compared to your small time shareholders. Guess we will never know.
